What the Business Services GMT Is and When It Applies

The Business Services GMT is a standardized business services agreement template used to define scope, deliverables, payment terms, and responsibilities between a service provider and a client. It acts as a master document for recurring engagements, clarifies performance expectations, and provides a consistent record for invoicing, compliance, and dispute resolution. The template is intended for commercial B2B engagements across industries and can be executed as an electronic record where ESIGN and applicable state laws permit.

Why a Clear Business Services GMT Matters

A clear GMT reduces ambiguity about scope, timelines, and payment, supports enforceability under ESIGN and UETA, and makes audits and renewals easier by centralizing key terms in one document.

Practical Tips for Accurate and Efficient Completion

Follow these best practices to reduce rework and ensure each GMT is complete and enforceable.

Use precise party names and titles
Confirm the exact legal entity and signer title before sending for signature. Mistakes in party names can delay bank processing, insurance coverage, and tax reporting.
Standardize payment and invoice attachments
Attach or reference the invoice template and payment instructions in the GMT. Clear invoicing reduces disputes and speeds accounts payable processing.
Limit conditional clauses
Keep conditional terms explicit and mapped to milestones. Ambiguous conditions increase the need for legal review and negotiation delays.
Preserve an immutable audit trail
Ensure the eSignature provider records timestamp, IP, and authentication events. A complete audit trail supports enforceability and compliance audits.
