Parties

Recitals

WHEREAS, Client Name: wishes to retain the Provider to perform business services as set forth herein; and

WHEREAS, Service Provider Name: represents that it has the experience, personnel, and resources necessary to perform the services described in this Agreement on the terms and conditions contained herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

Scope of Work

Provider will perform the services described below and in any Statement of Work executed under this Agreement. All services will be performed in a professional manner consistent with industry standards.

Payment Terms

Client shall pay Provider in accordance with the following fee structure.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Provider shall submit invoices itemizing services rendered, dates, hours (if applicable), and any pre-approved expenses. Client will pay undisputed amounts within the Invoice Due Days specified above. Disputed amounts shall be raised in writing within ten (10) days of receipt of the invoice and the parties shall use commercially reasonable efforts to resolve the dispute promptly.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days following receipt of written notice specifying the breach. Provider may terminate immediately if Client fails to pay undisputed amounts within forty-five (45) days of invoice. Either party may terminate immediately upon insolvency, appointment of a receiver, or similar event affecting the other party.

Confidentiality

"Confidential Information" means non-public information disclosed by a disclosing party to the receiving party, whether oral, written, electronic, or observed, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement by the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or a competent authority, provided the receiving party gives prompt written notice and cooperates with the disclosing party to seek protective relief.

The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; (ii) use Confidential Information only to perform its obligations or exercise its rights under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less restrictive than those herein. These obligations survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Indemnification and Liability

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability to the other shall exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation. If negotiations fail, disputes shall be resolved in the state or federal courts located in the county of the governing state specified above.

Entire Agreement and Miscellaneous

This Agreement, together with any Statements of Work and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Each person signing this Agreement represents and warrants that they are duly authorized to execute this Agreement on behalf of the party for whom they sign and that such party will be bound by the terms hereof.
