What the Business Services Hardie Template Is

The Business Services Hardie Template is a standardized business services agreement designed for B2B engagements such as consulting, project-based work, and ongoing service retainers. It sets out scope of services, deliverables, payment and invoicing terms, duration and renewal, confidentiality, intellectual property allocation, warranties, and termination mechanics. The template is intended to be adapted to specific transactions, combined with exhibits for SOWs and schedules for fees, and used with electronic signing and audit-trail tools to preserve execution evidence and version history.

Why Use This Business Services Template

A clear, consistent template reduces negotiation overhead, clarifies responsibilities, and helps prevent disputes by documenting fees, timelines, and remedies. It supports repeatable contracting across clients and vendors while enabling efficient eSignature workflows and recordkeeping for regulatory or tax needs.

Why Use This Business Services Template

Who Typically Uses the Business Services Hardie Template

Teams that prepare, review, or approve recurring service agreements rely on a single template to ensure consistency and compliance.

  • Small and mid-size businesses that standardize vendor and client engagements across departments.
  • In-house legal and procurement teams that need a reviewable master template for risk control.
  • Freelancers and consulting firms issuing repeatable statements of work to multiple clients.

The template is adaptable by role and industry, and it is commonly integrated into contract management or eSignature systems to streamline execution and storage.

Provide notice 30–60 days before automatic renewal

Record Retention:

Common Preparation Mistakes to Avoid

  • Leaving the scope vague or open-ended, which creates disagreement over deliverables and acceptance criteria and can lead to disputes and scope creep.
  • Using imprecise payment language (for example, 'reasonable efforts') instead of fixed amounts, invoicing schedules, or formulae that courts can enforce.
  • Failing to identify the authorized signer or attaching incomplete exhibits, which can invalidate the agreement or delay execution and payment.
  • Not aligning data security and privacy clauses with applicable laws (for example, HIPAA for health data), creating regulatory and liability exposure.

Risks and Consequences of Errors

Invalid Execution: Contract unenforceable
Payment Delays: Cash-flow interruption
Tax Exposure: Backup withholding obligations
Data Breach Fines: Regulatory penalties possible
Indemnity Costs: Defense and settlement exposure
Operational Disputes: Work stoppage risk
