BUSINESS SERVICES HAYABUSA - GENERAL BUSINESS AGREEMENT

This General Business Agreement (the Agreement) is entered into on (Effective Date), by and between , a service provider doing business as Business Services Hayabusa (Service Provider), and (Client).

RECITALS

WHEREAS, Service Provider offers professional business services including advisory, operational support, and project execution tailored to small and medium enterprises; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement and Service Provider is willing to provide such services under the terms and conditions set forth herein.

WHEREAS, the parties intend that the services and compensation arrangements set forth below will govern their rights and obligations during the Term of this Agreement.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Service Provider the fees and expenses set forth below in consideration for the services. All payments shall be made in United States Dollars unless otherwise agreed in writing.

Client shall also reimburse reasonable, preapproved out-of-pocket expenses incurred by Service Provider in performing the services. Service Provider shall invoice Client in accordance with the payment schedule above. Invoices not paid within thirty (30) days of receipt shall be subject to the late payment fee specified.

TERM AND TERMINATION

This Agreement commences on and, unless terminated earlier in accordance with this Agreement, continues until .

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Either party may terminate immediately for material breach by the other party if such breach remains uncured for fifteen (15) days after written notice of breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Each party acknowledges that during performance it may receive or have access to confidential or proprietary information of the other party. Confidential Information means information that is marked confidential or, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential.

The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) restrict access to Confidential Information to employees or contractors with a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement. Confidential obligations shall survive termination for years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized courier.

LIMITATION OF LIABILITY

Except for liability arising from a party’s gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. Each party’s aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of this Agreement shall be brought exclusively in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties agree that the headings used in this Agreement are for convenience only and shall not affect interpretation.

The parties represent and warrant that they have the full right, power, and authority to enter into this Agreement and to perform their obligations hereunder.
