Parties

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business services as set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the professional qualifications, experience, and technical ability to perform such services and is willing to perform the services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties agree that certain aspects of the engagement shall be treated as confidential and proprietary in accordance with the terms below.

1. Scope of Work

Service Provider shall perform the services described below (the "Services"). The Services shall be performed in a professional and workmanlike manner consistent with industry standards. Any material change to the scope shall require prior written approval signed by both parties.

2. Payment Terms

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below. Unless otherwise agreed in writing, fees are due in United States dollars and exclusive of taxes which shall be the responsibility of the party required to collect or pay such taxes.

3. Term and Termination

This Agreement commences on the Start Date set forth below and continues until the End Date, unless earlier terminated pursuant to this Section. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the Notice Period following written notice.

4. Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose or use any confidential or proprietary information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. Confidential information includes, without limitation, business plans, technical data, trade secrets, customer lists, pricing, and other non-public information.

The confidentiality obligations shall survive termination or expiration of this Agreement for a period of months from the date of disclosure. Exceptions include information that is or becomes publicly known through no breach by the Receiving Party, is received from a third party without restriction, or is required to be disclosed by law (provided the Disclosing Party is given prompt notice where permitted).

5. Intellectual Property and Work Product

Unless otherwise agreed in writing, Service Provider shall retain ownership of preexisting intellectual property and tools. All deliverables specifically created for Client under this Agreement and paid in full shall be assigned to Client as work product, subject to Service Provider's retained rights in its preexisting materials and underlying methodologies.

6. Indemnification and Liability

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for indemnification obligations, in no event shall either party be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party shall not exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

7. Relationship of the Parties; Compliance

Service Provider is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Each party shall comply with all applicable laws and regulations in performing its obligations, including data protection and export control laws where relevant.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that any dispute arising out of this Agreement shall be resolved in the courts located within that state unless the parties mutually agree otherwise in writing.

9. Entire Agreement; Amendment

This Agreement, including any exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior negotiations, representations, and agreements. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

10. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets.

Acceptance

The undersigned, each being an authorized representative of the party for which they sign, acknowledge and agree to the terms and conditions set forth in this Agreement.
