BUSINESS SERVICES ISL TEMPLATE

This Business Services Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (Client) and Service Provider Name: (Service Provider). Client and Service Provider are each a Party and together the Parties.

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain business services described herein and Service Provider represents that it has the personnel, experience and resources necessary to perform such services in a professional manner; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Service Provider will perform the services and Client will compensate Service Provider; and

WHEREAS, the Parties intend for this Agreement to govern all statements of work, proposals, or task orders that reference this Agreement unless otherwise expressly agreed in writing.

Service Provider shall perform the services described below and deliver the deliverables in accordance with any schedules, milestones or acceptance criteria set forth herein.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the performance of the Services. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus Service Provider's reasonable costs of collection.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party does not cure such breach within days after written notice. Either Party may terminate for convenience upon days' prior written notice to the other Party.

CONFIDENTIALITY

Each Party (Recipient) shall hold in confidence and not disclose or use for its own benefit any Confidential Information of the other Party (Discloser) except as necessary to perform its obligations under this Agreement. Confidential Information does not include information that is or becomes public other than by breach of this Agreement, was in Recipient's possession prior to disclosure, or is lawfully obtained from a third party without confidentiality obligation.

The confidentiality obligations shall survive termination of this Agreement for a period of years, or for such longer period as required by applicable law with respect to particular categories of information.

MISCELLANEOUS

Independent Contractor. Service Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between the Parties.

Assignment. Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.

Indemnification. Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's breach of this Agreement, negligence or willful misconduct, subject to the indemnified Party's compliance with reasonable notice and cooperation obligations.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts of that State for any dispute arising under this Agreement.

Entire Agreement. This Agreement, including any statements of work or exhibits incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and sent to the addresses set forth above or such other address as either Party may designate by notice to the other, and shall be effective upon receipt.
