Common preparation errors to avoid

  • Using inconsistent party names or abbreviations that do not match formation documents and cause bank or procurement rejections.
  • Omitting governing law or jurisdiction clauses that results in forum-shopping or unanticipated litigation venues.
  • Failing to attach required exhibits such as SOWs, rates, or insurance certificates, which undermines enforceability of promises.

Consequences of inaccuracy or missing approvals

Breach Risk: Contract repudiation or damages exposure.
Tax Exposure: Incorrect invoices may trigger audits.
Payment Delays: Missing approvals delay receivables.
Invalid Signature: Unauthorized signatory voids agreement.
Regulatory Fines: Privacy violations can incur penalties.
Operational Disruption: Scope gaps produce rework and cost.
