Common mistakes to avoid

  • Using vague scope language that leaves deliverables undefined, leading to disputes over whether work was completed as expected.
  • Failing to identify authorized signers or signing with an unofficial alias, which can result in enforceability challenges or rejected payments.
  • Omitting payment details such as invoice frequency or late fees, creating uncertainty for accounts receivable and cash-flow problems.
  • Not preserving the execution trail (timestamps, IP, signer authentication), which weakens evidentiary support if a signature’s validity is contested.
