BUSINESS SERVICES LABATTS AGREEMENT

This Business Services Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: , a business organized under the laws of , and Service Provider Name: , a business organized under the laws of .

Recitals

WHEREAS, Client requires certain business services relating to operations, process improvement, and advisory services as further described herein; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and personnel necessary to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services.

Scope of Work

Services shall include all labor, supervision, materials, deliverables, reporting, and related duties specifically set forth in the Scope of Work. Service Provider shall perform the services in a professional and workmanlike manner consistent with industry standards and in compliance with all applicable laws and regulations.

Payment Terms

Unless otherwise agreed in writing, Service Provider shall invoice Client in accordance with the Payment Schedule. Client shall pay undisputed invoices within thirty (30) days of receipt. Disputed portions of an invoice shall be promptly negotiated in good faith and the undisputed portion shall remain payable.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice, or where required by applicable law. Termination shall not relieve Client of the obligation to pay for goods and services performed and delivered prior to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as necessary to perform under this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no fault of the Receiving Party, is lawfully received by the Receiving Party from a third party without restriction, or is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising out of or related to this Agreement.

Entire Agreement; Miscellaneous

This Agreement, including any Scope of Work and appendices executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to a successor in interest to all or substantially all of the assigning party's business. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
