Key dates and filing deadlines related to vendor agreements

No fixed deadline — provide W-9 when requested by payer for tax reporting.

Form 1099-NEC:

Issue to recipients and IRS by January 31 for nonemployee compensation.

Form 1040 (business owners):

Individual tax returns due April 15, extension available with Form 4868.

I-9 retention:

Retain I-9 for 3 years after hire or 1 year after termination, whichever is later.

FBAR reporting:

File FinCEN Form 114 by April 15, automatic extension to October 15.

Common preparation errors to avoid

  • Leaving scope vague—failure to define deliverables or acceptance criteria leads to disputes and payment delays.
  • Inconsistent party names—using trade names instead of legal entity names complicates enforcement and tax reporting.
  • Missing dates or signatures—undated or unsigned agreements may be unenforceable or challengeable in court.
  • Incorrect payment terms—unspecified invoicing cadence or late fee policies cause reconciliation and cash flow problems.

Short risks and potential penalties

Tax reporting: Incorrect 1099s: $60–$330 per form depending on delay.
Intentional disregard: Willful failure: $660+ per form with no maximum.
I-9 violations: $281–$2,789 per paperwork violation.
Breach exposure: Data breach may trigger regulatory fines and remediation costs.
Contract disputes: Ambiguous terms increase litigation and recovery costs.
Storage failures: Poor retention can violate recordkeeping rules.
