What the Business Services Loom Agreement Is

The Business Services Loom Agreement is a standardized services contract used to set out scope, deliverables, payment, and timelines between a business and a services provider. It documents obligations, performance milestones, liability limits, confidentiality, and termination rights. The form can support multiple exhibits such as pricing schedules, statements of work, and acceptance criteria. Parties commonly use the agreement to create predictable commercial terms and reduce negotiation time while preserving flexibility to attach industry-specific exhibits or compliance addenda.

Why this Agreement Matters for Your Operations

A clear services agreement reduces ambiguity about deliverables, payment, and risk allocation while creating an enforceable written record of the parties’ expectations.

Why this Agreement Matters for Your Operations

Who Typically Prepares and Signs This Agreement

The Business Services Loom Agreement is used across departments and industries where recurring or project-based services are procured.

  • Procurement and sourcing teams who manage vendor selection and contract terms for services.
  • Project managers and operations leaders who need clear scope, milestones, and acceptance criteria.
  • Legal and compliance teams who ensure liability, confidentiality, and regulatory clauses are included.

Assign preparation to legal or contracts teams and routing to business owners for technical and commercial sign-off before execution.

Representative Signatories and Their Roles

Kodi-Marie Evans, Director of NetSuite Operations

As a director overseeing ERP integration, this signer ensures technical exhibits and invoicing schedules align with system workflows. The role validates integration timelines, data handoff points, and billing triggers before contract execution.

Intentional Disregard: Higher 1099 penalties apply with no statutory cap.
HIPAA Noncompliance: Civil penalties and corrective action plans possible.
Contractual Indemnity: Unlimited or poorly limited indemnities can create exposure.
Missing Signatures: Unsigned pages can render clauses unenforceable.

Common Preparation Errors to Avoid

  • Mismatched party names and tax IDs — inconsistent legal names can delay payments and invalidate tax reporting.
  • Blank or ambiguous effective dates — leave the effective date blank or vague and the timing of obligations becomes contestable.
  • Omitted exhibits or schedules — missing pricing or scope exhibits leads to disputes over deliverables and compensation.
