This Business Services Letter of Services (the Agreement) is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client seeks to retain Service Provider to perform certain business services described in this Agreement, and Service Provider has represented that it has the qualifications, experience and ability to provide such services in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide the services to Client, including scope, fees, confidentiality and the term of engagement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF WORK

Services shall be performed in accordance with the schedule set forth in this Agreement and any attached statements of work. Any material change to the Scope of Work shall be made only by a written Change Order signed by both parties outlining changes to deliverables, timeline, and compensation.

2. PAYMENT TERMS

Invoices are due within days of receipt unless otherwise agreed in writing. Overdue amounts shall accrue interest at a rate of .

Client shall pay reasonable costs of collection, including attorneys' fees, for any unpaid amounts not timely remitted.

3. TERM AND TERMINATION

This Agreement commences on the Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and approved expenses incurred through the effective date of termination and for any non-cancellable obligations reasonably incurred by Service Provider prior to termination.

4. CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary or confidential information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public other than through a breach of this Agreement by the receiving party; (b) was known to the receiving party prior to disclosure as evidenced by written records; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is rightfully obtained by the receiving party from a third party without restriction.

The receiving party shall: (i) hold Confidential Information in strict confidence and take reasonable precautions to protect it; (ii) use Confidential Information only to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement. These obligations shall continue for a period of three (3) years following disclosure, or for such longer period as necessary to protect trade secrets under applicable law.

Notwithstanding the foregoing, the receiving party may disclose Confidential Information to the extent required by law or a valid order of a court or governmental authority, provided the receiving party, where legally permitted, gives the disclosing party prompt written notice and cooperates in any reasonable attempt to limit or contest the disclosure.

5. INDEPENDENT CONTRACTOR; ASSIGNMENT

Service Provider is an independent contractor and nothing in this Agreement creates an employment, partnership or joint venture relationship. Service Provider shall have no authority to bind Client without Client's prior written consent. Neither party may assign this Agreement without the other party's prior written consent, except that Service Provider may assign this Agreement in connection with a sale of substantially all of its business or assets, provided the assignee assumes Service Provider's obligations hereunder.

6. LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for indirect, incidental, consequential, special or punitive damages. Each party's aggregate liability to the other for any claim arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Client to Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified above by hand, reputable overnight courier, or certified mail and shall be deemed given upon receipt.

8. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree to attempt in good faith to resolve any dispute arising out of this Agreement through negotiation between senior representatives. If the dispute cannot be resolved by negotiation within thirty (30) days, the parties shall submit the dispute to binding arbitration under the rules of a recognized arbitration body, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or statements of work executed by the parties, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements and communications, whether written or oral, relating to the subject matter hereof. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable.
