BUSINESS SERVICES LOTUS

RECITALS

WHEREAS, the Service Provider is in the business of providing professional business services, including but not limited to consulting, project management, and deliverable development, and has the capability and capacity to perform such services for the Client; and

PAYMENT TERMS

Compensation: The Client shall pay the Service Provider the Total Fee of USD for the services described herein, subject to the terms below.

Late Payment: Any past-due amount shall accrue interest at a rate of or the maximum lawful rate, together with all costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and, unless earlier terminated in accordance with this Agreement, shall continue until End Date: .

Termination for Convenience: Either party may terminate this Agreement for any reason upon prior written notice of days to the other party. Termination shall not relieve the Client of its obligation to pay for services performed through the effective date of termination.

Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any non-public information, materials, or data (Confidential Information) of the other party (the Disclosing Party) received in connection with this Agreement, except as required by law. Confidential Information shall not include information that is or becomes publicly known through no fault of the Receiving Party.

Duration of Confidentiality: The obligations set forth in this section shall survive termination of this Agreement for a period of unless otherwise required by law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, all work product, inventions, improvements, and deliverables developed by the Service Provider under this Agreement (Work Product) shall be owned by the Client upon full payment of all amounts due. The Service Provider hereby assigns to the Client all right, title and interest in and to such Work Product, and shall execute any documents reasonably required to effect such assignment.

INDEMNIFICATION; LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices shall be given in writing to the addresses provided above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
