Practical Tips to Reduce Disputes and Speed Execution

Practical practices to reduce disputes and speed execution when using the Business Services LS Template across typical engagements.

Use Clear Acceptance Criteria
Define measurable acceptance tests, deliverable formats, and approval procedures. Specify who inspects deliverables, the review timeline, and how rework will be documented and priced to avoid subjective disputes and repeated iterations.
Standardize Payment Schedules
Use precise invoice triggers, specify due dates, and define late fees. Tie payments to milestones where possible and require remittance information on invoices to reduce reconciliation errors and support accurate tax reporting.
Confirm Signatory Authority
Require signers to state capacity (title) and authority to bind the entity. Document internal approvals or corporate resolutions for signers where necessary, and record evidence to prevent later challenges to contract validity.
Use Version Control
Track edits, preserve a final executed copy, and ensure consistent numbering. Keep change logs and avoid side agreements; if side letters are used, reference them in the main agreement and attach as exhibits.
