What the Business Services Main Agreement Is and When It Applies

A Business Services Main Agreement is a master contract that sets the terms, responsibilities, and payment framework between a service provider and a business client for recurring or project-based services. It defines scope of services, deliverables, performance standards, payment schedule, intellectual property allocation, confidentiality, indemnities, termination rights, and dispute resolution procedures. The agreement serves as the controlling contract for statements of work, purchase orders, or task orders that reference it, reducing negotiation time for subsequent engagements and clarifying remedies if performance or payment disputes arise.

Why a Main Agreement Matters to Your Business

A clear Business Services Main Agreement centralizes obligations, limits risk, and streamlines repeat engagements by defining standard terms once rather than renegotiating per order.

Why a Main Agreement Matters to Your Business

Typical Parties and Situations for This Agreement

This agreement suits businesses buying repeated services, vendors delivering ongoing professional services, and procurement teams standardizing terms across projects.

  • Procurement teams standardize vendor obligations and reduce procurement cycle time for repeat orders.
  • Service providers establish payment terms, IP ownership, and liability limits for multiple client engagements.
  • Legal and finance departments reduce review time by referencing one master contract for successive statements of work.

Core Sections to Include in a Professional Main Agreement

Include comprehensive clauses that govern the relationship across multiple engagements; clarity in these areas reduces disputes and supports consistent enforcement.

Scope of Services

Define deliverables, exclusions, and how statements of work (SOWs) incorporate and modify the main agreement to avoid ambiguity on responsibilities.

Payment Terms

State rates, invoicing schedule, late fees, expense reimbursement, and any retainers. Include currency, invoicing frequency, and dispute procedures for disputed charges.

Intellectual Property

Allocate ownership for preexisting IP, newly created work product, and license grants so client and vendor rights are clear for deliverables.

Confidentiality

Define confidential information, permitted disclosures, duration of confidentiality obligations, and exceptions such as compelled disclosure.

Liability and Indemnity

Set damage caps, carve-outs for willful misconduct, and reciprocal indemnities for third-party claims tied to deliverables or services.

Termination

Specify termination for convenience and cause, notice periods, wind-down obligations, and post-termination payment and return of materials.

How to Complete the Business Services Main Agreement — Step by Step

Follow a consistent sequence to prepare, review, and execute the agreement accurately.

  • 01
Prepare: Collect entity names, insurance certificates, and SOWs before drafting.
  • 02
Draft: Populate core clauses and attach SOWs with scope and pricing.
  • 03
Review: Have legal and finance review material terms and tax treatment.
  • 04
Execute: Obtain authorized signatures and distribute executed copies to parties.

How Execution and Distribution Typically Flow

Execution often follows a standard routing: draft, internal approvals, counterparty review, signature, and archive.

  • Upload Draft: Store the master agreement and SOWs in a contract repository.
  • Assign Reviewers: Legal, procurement, and finance review in sequence.
  • Authorize Signers: Confirm signatory authority and limits before sending.
  • Distribute Copies: Send executed PDFs to all parties and add to records.

Online Workflow Settings to Use for Consistent Execution

Recommended digital workflow settings support authentication, order of signing, and archiving for repeat use across projects.
