BUSINESS SERVICES MANNING AGREEMENT

This Business Services Manning Agreement ("Agreement") is entered into as of the day of , year , by and between:

WHEREAS

WHEREAS, Service Provider is engaged in the business of recruiting, supplying and managing personnel for operational, technical and administrative functions; and

WHEREAS, Client requires temporary or ongoing manning services for Client business operations and desires to engage Service Provider to supply qualified personnel under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

1. SCOPE OF WORK

Service Provider shall recruit, assign, supervise and, where applicable, terminate personnel (each a "Manned Employee") to perform services for Client consistent with Client requirements. Service Provider is responsible for hiring, payroll, benefits, taxes and worker relations for Manned Employees unless otherwise agreed in writing.

2. PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in exchange for Services and the supply of Manned Employees. Fees are exclusive of applicable taxes unless expressly stated.

3. TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within the notice period specified above following receipt of written notice describing the breach.

Termination for Convenience: Client may terminate for convenience upon providing the notice period above and paying all fees due for Services performed through the effective date of termination and any reasonable wind-down costs as documented by Service Provider.

4. CONFIDENTIALITY

Each party shall maintain in confidence all information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential, including but not limited to personnel records, compensation, client lists, technical data and business plans ("Confidential Information"). Confidential Information shall not be disclosed except to employees, contractors or agents who have a need to know and who are bound to protect such information at least as strictly as the receiving party.

Confidentiality obligations survive termination of this Agreement for a period of three (3) years, except with respect to personal data or trade secrets, which shall be protected for as long as required under law or practice.

5. INSURANCE, COMPLIANCE AND BACKGROUND

Service Provider shall maintain insurance customary for manning services, including workers' compensation, general liability and employer liability insurance and shall comply with applicable laws, licensing and labor regulations. Service Provider shall perform background checks and any required screening for Manned Employees in accordance with Client's reasonable requirements and applicable law.

6. INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against third-party claims arising out of that party's negligent acts or omissions, willful misconduct, or breach of this Agreement. Service Provider specifically indemnifies Client from claims related to employment, tax, wage-and-hour liabilities or benefits obligations of Manned Employees.

7. INTELLECTUAL PROPERTY

Work product created by a Manned Employee in the performance of Services shall be owned by Client upon full payment, except where parties agree otherwise in writing. Service Provider retains ownership of pre-existing materials and methodology, and grants Client a limited license to use such materials solely for Client's internal business purposes in connection with the Services.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its choice-of-law principles.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. No amendment, modification or waiver shall be effective unless reduced to writing and signed by authorized representatives of both parties.

10. MISCELLANEOUS

Relationship of Parties: Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture or employer-employee relationship between Client and Service Provider or Client and any Manned Employee.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or to a purchaser of substantially all of its business assets provided such assignee assumes Service Provider's obligations hereunder.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
