What the Business Services Marathon Contract Is

The Business Services Marathon Contract is a long-form service agreement used when a client engages a provider for sustained, multi-phase business services. It defines parties, scope, milestones, pricing, performance metrics, change-order handling, dispute resolution, and termination conditions. Typical uses include ongoing consulting engagements, managed services, programmatic procurement, and extended project delivery where recurring invoices, periodic reviews, and service-level metrics govern performance and payment. The contract is structured to reduce ambiguity across many deliverables and to preserve a clear record of responsibilities over an extended term.

Why a Marathon Contract Matters for Ongoing Services

A clear, comprehensive marathon contract centralizes expectations for long-term work, aligns payment with deliverables, and reduces disputes. Using an electronic execution workflow supports consistent records and fast turnover while meeting legal requirements for electronic signatures under federal and state law.

Why a Marathon Contract Matters for Ongoing Services

Who Typically Uses the Business Services Marathon Contract

Typical users range from corporate procurement teams to small business owners who need repeatable terms for ongoing services.

  • Procurement managers and contract administrators managing multiple vendor relationships across program phases and budgets.
  • Service providers and managed services teams documenting SLAs, milestone payments, and escalation procedures for long engagements.
  • Small and midmarket business owners needing standardized terms to limit negotiation time and speed recurring invoicing.

Matching the right signer and internal approver helps maintain continuity across multiple project phases and billing cycles.

Core Elements to Include in a Professional Marathon Contract

A well-drafted marathon contract organizes commercial terms, performance expectations, and governance for the duration of the engagement.

Parties

Identify legal names and entity types for each party, including authorized signing representatives and contact details for notices and invoicing.

Scope of Work

List deliverables, acceptance criteria, timelines, and milestone definitions. Reference any exhibits or statements of work that contain technical or project detail.

Term and Renewal

State start date, initial term, renewal mechanics, notice windows for nonrenewal, and any automatic renewal triggers or termination fees.

Payment and Invoicing

Specify pricing model, billing cadence, late fees, payment methods, tax responsibilities, and invoicing instructions including required backup.

Service Levels

Define measurable SLAs, remedies for missed targets, reporting cadence, and governance meetings or escalation paths for disputes.

Compliance and Confidentiality

Include confidentiality obligations, data protection standards, and any industry-specific compliance clauses such as HIPAA addenda or data processing requirements.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest

Electronic Signature: ESIGN and UETA compliance
Accessibility: WCAG 2.0 Level AA support

Practical Tips to Reduce Errors and Disputes

Adopt these operational practices to improve accuracy, speed execution, and support enforceability for marathon contracts.

Standardize Templates and Terms
Use a single approved template that includes required exhibits, signature blocks, and billing instructions. Standardization reduces negotiation time, ensures consistent clauses across engagements, and limits the number of bespoke edits that require attorney review.
Require Authorized Signatories
Confirm signer authority before execution by verifying corporate resolutions or procurement approvals. Establish an internal checklist for signatory limits and use SSO or corporate email authentication to tie signatures to authorized accounts.
Use Clear Milestones and Acceptance Criteria
Define measurable deliverables, acceptance tests, and approval windows. Tie invoicing to milestone acceptance to avoid payment disputes and document any grace periods or cure rights in the contract.
Preserve an Audit Trail
Capture timestamps, IP addresses, and authentication events for every execution. Maintain exportable copies in PDF/A or an equivalent archival format to support reproducibility in dispute or compliance audits.

Common Pitfalls to Avoid When Preparing the Contract

  • Missing or inconsistent party names across exhibits that cause confusion during invoice processing or enforcement.
  • Unclear scope and deliverable definitions that create scope creep and billing disagreements mid-contract.
  • Absent or vague termination and renewal language that results in unintended automatic renewals or disputes over notice windows.
  • Weak signer authentication that makes attribution harder and increases the chance of challenge to electronic signatures.

Potential Penalties and Legal Risks to Watch

1099 Filing Penalties: $60–$330 per form
I-9 Violations: $281–$2,789 per violation
Intentional Disregard: $660+ per form
HIPAA Penalties: Civil penalties vary by violation
Contract Unenforceability: Defects in signatures may void agreement
Operational Delays: Late deliverables cause revenue loss
