Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business, administrative, and professional services on the terms and subject to the conditions set forth in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the requisite experience, personnel and qualifications necessary to perform the services described herein and is willing to provide such services to Client in accordance with this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Effective Date

This Agreement is effective as of (the Effective Date).

Scope of Work

Service Provider shall perform the services described below (the Services). Service Provider must perform the Services in a timely, professional and workmanlike manner consistent with industry standards.

Payment Terms

Compensation: Client shall pay Service Provider the total amount set forth below in consideration for the Services rendered under this Agreement.

Invoicing and Payment: Service Provider shall submit invoices in accordance with the Payment Schedule. Unless otherwise stated on the invoice, Client shall pay undisputed amounts within days of receipt of each invoice.

Taxes and Withholding: All fees are exclusive of taxes. Client shall withhold and remit taxes only as required by applicable law; to the extent Client withholds any amounts it shall provide Service Provider with documentation evidencing such withholding.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own similar confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public other than through a breach of this Agreement, (ii) was in the Receiving Party's possession prior to receipt from the Disclosing Party, or (iii) is independently developed by the Receiving Party without reference to the Confidential Information.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, losses, damages or liabilities arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. Except for breaches of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Relationship of Parties: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship. Each party shall be responsible for its own taxes and benefits pertaining to its personnel.

Notices: All notices required or permitted under this Agreement must be given in writing and delivered to the addresses set forth above or to such other address as either party designates in writing.
