Practical Tips to Avoid Rework and Disputes

Practical guidance helps reduce rework and legal exposure when preparing the Business Services Mccray for execution.

Use clear, measurable acceptance criteria
Define objective tests, inspection methods, and measurement thresholds tied to each deliverable. Store acceptance records and sign-off forms to prevent post-delivery disputes and retain copies per retention policy.
Specify payment schedule and penalties
Tie payment milestones to completed deliverables and require invoices with line-item detail. Specify interest on overdue amounts and a dispute resolution process to minimize collection delays and protect cash flow.
Include formal written amendment procedures
Require written amendments signed by authorized representatives and reference original agreement version numbers. Record effective dates for each amendment and circulate updates to all stakeholders to maintain a single source of truth.
Always verify signer authority in writing
Obtain officer resolutions, corporate authorizations, or power of attorney as needed for entity signatories. Document signatory titles and confirm they have authority to bind the organization to prevent later challenges to validity.

Common Preparation Pitfalls

  • Failing to define acceptance criteria leads to disagreements over whether deliverables satisfy obligations, causing delays and additional cost to resolve performance disputes.
  • Using vague payment language such as 'reasonable' or 'promised timely payment' creates ambiguity that complicates collections and enforcement.
  • Omitting early termination procedures and notice periods can force reliance on default state contract rules, increasing legal uncertainty.
  • Not recording version changes or amendments makes it difficult to track obligations after revisions, risking contradictory instructions between parties.

Potential Consequences of Errors

Contract Disputes: Unclear scope increases litigation risk
Late Payment: Cashflow interruptions; collection costs
Invalid Signatures: Missing consent may void agreement
Incorrect Dates: Timing disputes and liability gaps
Noncompliance: Breach of regulatory obligations
Tax Exposure: Missing 1099 reporting
