BUSINESS SERVICES AGREEMENT — BUSINESS SERVICES MICROSOFT

This Business Services Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires professional business services related to the deployment, configuration, and integration of Microsoft business solutions and ancillary consulting services; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to provide the services described in this Agreement under the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). The Services include professional consulting, configuration, integration, testing, knowledge transfer, documentation, and any deliverables specifically identified in this Agreement.

PAYMENT TERMS

Client shall pay Service Provider fees as set forth below. All amounts are in U.S. Dollars unless otherwise specified.

Service Provider shall submit invoices in accordance with the Payment Schedule. If Client fails to pay any undisputed invoiced amount by the due date, Service Provider may suspend performance after providing ten (10) days' written notice and charge interest at the rate set forth above, and recover reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement, including business plans, technical data, product roadmaps, trade secrets, source code, customer information, and pricing. Confidential Information does not include information that (i) is or becomes generally available to the public through no act or omission of the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (iv) is rightfully obtained from a third party without restriction.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement. These obligations shall survive termination of this Agreement for years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any Exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, understandings and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign its rights to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. The waiver of any breach shall not constitute a waiver of any subsequent breach.
