Business Services Millhouse - General Business Agreement

This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Service Provider is in the business of providing specialized business support services, including but not limited to consulting, project management, operations advisory, and implementation of business systems; and

WHEREAS, Client desires to retain Service Provider to perform the services described herein and Service Provider agrees to perform such services under the terms and conditions of this Agreement.

Scope of Work

Service Provider shall perform the services and deliverables as set forth below. The scope described constitutes the core obligations of Service Provider; any material change to scope shall be governed by the Change Order process set forth herein.

Payment Terms

Client shall pay Service Provider in consideration for the services performed as follows. All fees are exclusive of taxes unless otherwise stated. Unless otherwise agreed in writing, invoices shall be payable in United States dollars.

Invoices are due within days of receipt. Overdue amounts shall bear interest at % per month, or the maximum lawful rate if less, calculated monthly on outstanding balances until paid in full.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches any obligation under this Agreement and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination. Service Provider shall deliver to Client all work in progress and completed deliverables for which Client has paid.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that: (a) becomes publicly available through no fault of the Receiving Party; (b) is lawfully received from a third party without obligation of confidentiality; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or regulation, provided the Receiving Party gives prompt notice and cooperates to seek confidential treatment.

The obligations of confidentiality shall continue for a period of years from the date of disclosure, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Limitation of Liability

Except for liability arising from willful misconduct, personal injury, death, or a breach of confidentiality, neither party shall be liable for consequential, incidental, special, or punitive damages. Each party's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising out of this Agreement.

Entire Agreement

This Agreement, including all exhibits, schedules and any executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger or sale of substantially all of its assets. Notices required under this Agreement shall be given in writing and delivered to the addresses set forth above.
