Common Mistakes to Avoid When Preparing the Document

  • Using informal or abbreviated legal names that do not match formation or tax records, which can delay payments and cause tax reporting mismatches.
  • Leaving scope or deliverable descriptions vague, leading to disputes over acceptance criteria or additional charges after execution.
  • Failing to confirm signatory authority, resulting in unsigned or unsigned-by-unauthorized-person issues that may require re-execution.
  • Omitting or misformatting effective dates and renewal clauses, which can create unintended auto-renewals or gaps in coverage.

Tax Reporting Penalties: Incorrect payee info may trigger IRC §6721 penalties for information returns
I-9 Violations: Incomplete employment verification may incur fines under 8 CFR §274a.2
Contract Disputes: Ambiguous scope raises litigation and cost exposure
Payment Delays: Missing signatures may defer invoices and cash flow
Data Privacy Breach: Improper handling of PII can trigger HIPAA or state privacy enforcement
