The Business Services Nifty-Vice is a standardized service agreement template that defines scope, deliverables, pricing, timelines, acceptance criteria, and remedies between a provider and a client. It is intended for recurring or project-based B2B services and can include exhibits for milestones, invoices, and technical specifications. The template is designed to be executed electronically or on paper; when signed electronically it must meet ESIGN and applicable state UETA/ESRA rules to be enforceable in commerce.

Properly executed electronic signatures meet the ESIGN Act (15 U.S.C. ch. 96) and state UETA rules in most jurisdictions, supporting enforceability and auditability for business transactions.
