BUSINESS SERVICES NLS

This Business Services Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client desires to retain Service Provider to perform certain business services as set forth in this Agreement; and

WHEREAS, Service Provider has the skill, capacity, and personnel to perform such services and agrees to provide them under the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to allocate responsibilities, payment terms, confidentiality obligations, and the processes for termination.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. Services not expressly described below require a written amendment signed by both parties.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services performed under this Agreement.

Any undisputed past due amount shall accrue interest at percent per month (or the maximum permitted by law), after a grace period of days following invoice date.

Term and Termination

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach remains uncured thirty (30) days after receipt of written notice specifying the breach, provided that if the breach is incapable of cure within thirty days the breaching party shall have such additional time as is reasonably necessary to cure.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial information, customer lists, technical data, and materials provided under this Agreement.

Each party shall (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, (b) not use Confidential Information other than to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidential obligations survive termination for unless a longer period is required by applicable law.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment or waiver of this Agreement must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other in accordance with this Section.
