THIS BUSINESS SERVICES AGREEMENT (the Agreement) is made effective as of (Effective Date) by and between Client Name: , and Service Provider Name: . The parties agree as follows.

WHEREAS

WHEREAS, Client desires to obtain certain business services related to network services, online presence, operations, and public website support (collectively, the Services), and Service Provider represents that it has the professional capacity and expertise to perform such Services in accordance with the terms of this Agreement.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such Services, payment, confidentiality, term and termination, and governing law, as set forth in this Agreement.

SCOPE OF WORK

Service Provider shall perform the Services described above in a professional and workmanlike manner consistent with industry standards. Any material changes to the Scope of Work shall be made only by written amendment signed by both parties, and where applicable, an adjustment to Fees and Schedule shall be specified in the amendment.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay invoices within days of receipt. All amounts are payable in U.S. dollars. Service Provider shall submit invoices in accordance with the Payment Schedule.

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) percent per month, or (b) the maximum rate permitted by applicable law, plus a late processing fee of .

TERM AND TERMINATION

The term of this Agreement shall commence on and continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver to Client all work product, documentation, and materials reasonably necessary for Client to continue operations, and Client shall pay Service Provider for Services performed and reasonable expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by a disclosing party to a receiving party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, pricing, technical data, and customer information. Confidential Information does not include information that (a) is or becomes publicly known through no breach of this Agreement by the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of Confidential Information.

The receiving party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (iii) not disclose Confidential Information to any third party except to affiliates, contractors, and employees who have a need to know and who are bound by confidentiality obligations at least as restrictive as those in this Agreement.

Upon termination or expiration of this Agreement, the receiving party shall, upon request, return or destroy Confidential Information and certify in writing the destruction. The confidentiality obligations of this Section shall survive termination or expiration of this Agreement for a period of , except with respect to trade secrets, which shall survive for so long as such information qualifies as a trade secret under applicable law.

INVOICING AND NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of state and federal courts located within that State for resolution of disputes arising under this Agreement.

This Agreement, including all exhibits and written amendments, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or successor in connection with a merger, consolidation, or sale of substantially all assets, provided that the assignee assumes all obligations under this Agreement. The rights and remedies provided herein are cumulative and in addition to any rights or remedies available at law or in equity.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable while preserving its intent.
