BUSINESS SERVICES OHL

This Business Services Agreement (the "Agreement") is entered into as of (the "Effective Date"), by and between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional business services, including but not limited to consulting, operations support, and project implementation; and

WHEREAS, Client wishes to retain Service Provider to perform certain services for the benefit of Client under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing.

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. The parties may attach statements of work or change orders as exhibits, which shall be incorporated into this Agreement when executed by both parties.

PAYMENT TERMS

In consideration for the services rendered, Client shall pay Service Provider the fees and reimburse expenses as set forth below.

Late payment shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law. Client shall also reimburse Service Provider for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for cause in the event of a material breach that remains uncured for thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally known to the public through no fault of the receiving party; (ii) was in the receiving party's possession prior to receipt from the disclosing party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the other party's Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing under this Agreement and shall restrict disclosure to those employees, contractors, or agents with a need to know and who are bound to protect such information at least to the same degree as the receiving party. Upon termination or request, the receiving party shall return or destroy Confidential Information, except to the extent retention is required by law or for legitimate archival purposes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

LIMITATION OF LIABILITY

Except for liability arising from a party's breach of its confidentiality obligations, gross negligence, willful misconduct, or violations of applicable law, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Each party's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement, together with any executed statements of work, exhibits, or appendices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous discussions, proposals, negotiations and agreements, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and sent to the addresses set forth above or to such other address as either party may designate by notice. Notices shall be deemed given when delivered personally, by confirmed overnight courier, or three (3) business days after deposit in the mail, postage prepaid.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that best accomplishes the original intent. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
