BUSINESS SERVICES OL

This Business Services Agreement ("Agreement") is entered into by and between:

RECITALS

WHEREAS, Client desires to obtain certain business services from Service Provider and has engaged the Service Provider to perform the services described herein under the terms and conditions of this Agreement; and

WHEREAS, Service Provider has the necessary experience, capability and personnel to provide such services and agrees to perform them for Client in accordance with this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their mutual rights and obligations with respect to such services.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). The Services will be performed in a professional and workmanlike manner consistent with industry standards and in accordance with the timelines and specifications set forth by Client and agreed to by Service Provider.

PAYMENT TERMS

Client shall pay Service Provider as follows.

All amounts are payable in United States Dollars unless otherwise agreed in writing. Client shall be responsible for any reasonable costs of collection, including attorneys' fees, on past-due amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the effective date of termination.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure of Confidential Information to those employees, contractors and agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein, and (c) not disclose Confidential Information to any third party without the prior written consent of Disclosing Party.

Confidential Information shall not include information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement by Receiving Party; (ii) was rightfully in Receiving Party’s possession prior to receipt from Disclosing Party; (iii) is obtained by Receiving Party from a third party without restriction and without breach of a nondisclosure obligation; or (iv) is independently developed by Receiving Party without use of or reference to Confidential Information.

INDEPENDENT CONTRACTOR

Service Provider is an independent contractor and nothing in this Agreement will be construed to create an employment, agency, joint venture or partnership relationship between the parties. Service Provider shall be responsible for all taxes, insurance and other obligations arising from its performance of the Services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to that State's choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
