Business Services Online Contract

This Business Services Online Contract (the "Agreement") is entered into as of (the "Effective Date"), by and between the parties identified below.

Parties

Recitals

WHEREAS, Service Provider is engaged in the business of providing online professional services, including but not limited to consulting, software configuration, digital marketing, and technical support; and

WHEREAS, Client desires to engage Service Provider to perform certain services as described in this Agreement, and Service Provider is willing to provide such services under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the services and deliverables described below. All services shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

In consideration for the performance of services, Client shall pay Service Provider the fees set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall bear interest at the lesser of the maximum rate permitted by law or % per month (or flat late fee) from the due date until paid.

Term and Termination

The term of this Agreement shall commence on and continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver all work in progress and Client shall pay for all work performed through the effective date of termination, subject to any setoffs permitted by law.

Confidentiality

"Confidential Information" means non-public information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential. Each party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) take commercially reasonable measures to protect Confidential Information; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for years.

Intellectual Property and License

Except as otherwise agreed in writing, Service Provider retains all intellectual property rights in methodologies, know-how, tools, templates, and preexisting materials. Upon full payment, Service Provider grants Client a non-exclusive, non-transferable license to use the Deliverables for Client's internal business purposes. Any third-party software components shall be subject to their applicable license terms.

Representations; Indemnification; Limitation of Liability

Each party represents that it has the power and authority to enter into this Agreement. Client shall indemnify and hold Service Provider harmless from claims arising from Client-provided materials or Client's use of the Deliverables inconsistent with this Agreement. Except for willful misconduct or gross negligence, neither party's aggregate liability shall exceed the fees paid by Client to Service Provider under this Agreement in the prior twelve (12) months.

Data Security; Compliance

Service Provider shall maintain commercially reasonable administrative, physical, and technical safeguards to protect Client data. Each party shall comply with applicable laws and regulations in performing its obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments incorporated herein, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice in accordance with this section. Notices are effective upon receipt.
