RECITALS

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services in a professional manner consistent with industry standards for orchard business services, including but not limited to business planning, market analysis, buyer introductions, logistics coordination, and regular reporting to Client.

PAYMENT TERMS

All payments shall be due within the period set forth in the Payment Schedule. Overdue amounts shall accrue interest at the Late Payment rate specified above and Client will be responsible for any collection costs and reasonable attorneys' fees incurred by Service Provider to obtain payment.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience by providing the other party with written notice in accordance with the Termination Notice Period. Termination for cause shall be effective immediately upon written notice if a material breach is not cured within 15 days following written notice of such breach.

CONFIDENTIALITY

During the Term and for a period of years thereafter, each party shall hold in strict confidence and shall not disclose to any third party any Confidential Information received from the other party, except as required by law or with the prior written consent of the disclosing party. "Confidential Information" means non-public business, financial, technical, customer, pricing, and operational information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The obligations in this clause do not apply to information that (a) is or becomes generally available to the public other than by a breach of this Agreement, (b) is independently developed without the use of Confidential Information, or (c) was rightfully in the receiving party's possession prior to receipt from the disclosing party.

INTELLECTUAL PROPERTY AND WORK PRODUCT

Unless otherwise agreed in writing, Work Product developed by Service Provider specifically for Client under this Agreement shall be owned by Client upon full payment of amounts due for such Work Product. Service Provider retains ownership of its pre-existing intellectual property and may use general skills, know-how, and methodologies without restriction.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct in the performance of its obligations hereunder.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including all attachments and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices shall be delivered in writing to the addresses above and shall be deemed given on the date of personal delivery, or three business days after deposit in the postal service when sent by certified mail, postage prepaid.
