Recitals

WHEREAS, Client desires to retain the Service Provider to perform certain business services described herein and Provider has represented that it possesses the experience and resources necessary to perform such services; and

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the parties agree as follows.

Scope of Work

Payment Terms

Invoices will be issued in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay each undisputed invoice within days of receipt.

Late payments shall incur a late fee equal to the greater of per month on the unpaid balance or a flat fee of , plus any collection costs and reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on Effective Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose any Confidential Information received from the other party (the "Disclosing Party") except as necessary to perform obligations under this Agreement. "Confidential Information" means nonpublic information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall use Confidential Information solely for the performance of this Agreement, shall restrict access to employees and contractors on a need-to-know basis, and shall return or destroy Confidential Information within days of termination or expiration of this Agreement.

Acknowledgement: The parties acknowledge their respective obligations under this Confidentiality clause.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

Entire Agreement

This form, together with any attachments and addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.
