BUSINESS SERVICES AGREEMENT — OXIMIO

This Business Services Agreement ("Agreement") is made effective as of between Client Name: , with principal address at , and Service Provider Name: , with principal address at .

WHEREAS

WHEREAS, Client desires to retain Service Provider to perform certain business services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the experience and expertise necessary to perform such services and is willing to provide such services under the terms agreed herein.

SCOPE OF WORK

Service Provider shall provide the services and deliverables described below. Deliverables shall conform to specifications agreed by the parties and shall be subject to Client acceptance testing where applicable.

PAYMENT TERMS

In consideration of the performance of the services described above, Client shall pay Service Provider in accordance with the following terms.

All amounts payable under this Agreement are exclusive of taxes. Client shall pay any applicable sales, use, or similar transactional taxes assessed in connection with the services, except taxes based on Service Provider's net income.

TERM AND TERMINATION

This Agreement commences on the date set forth above and continues until the completion of the services unless earlier terminated as provided in this section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and does not cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is marked confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; (c) was known to the Receiving Party prior to disclosure; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own similar confidential information, but in no event less than reasonable care. Upon termination or upon request, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and representations, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Each party represents and warrants that it has the full right and authority to enter into and perform this Agreement. Neither party will assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
