  • Failing to specify exact deliverables and acceptance criteria, leading to disputes about when work is complete and payable.
  • Omitting governing law or venue, increasing uncertainty about where litigation or arbitration will proceed.
  • Relying on unsigned amendments or email confirmations without formal signatures, risking enforceability under ESIGN/UETA tests.

Security and compliance considerations for electronic execution

Data at Rest: AES-256 encryption
Audit Trail: Timestamped actions and IP records

Regulatory: ESIGN and UETA compliant

Practical tips for accurate and efficient completion

Applying these best practices reduces review cycles and legal ambiguity while supporting clean, auditable records.

Standardize Names
Use the exact legal entity name everywhere in the agreement, invoices, and any statutory filings; mismatches complicate banking, tax reporting, and enforcement and often require an amendment to correct.
Define Acceptance
Include measurable acceptance criteria and a short acceptance timeline; clarify inspection, remedy, and rework steps to prevent disputes and accelerate payment.
Align Invoicing
Match invoice line items to contract deliverables and milestones so accounts payable can process payments without manual reconciliation delays or disputes.
Preserve Audit Trail
Capture signed PDFs and the platform audit log; store both in your records system to satisfy ESIGN, audit, and potential litigation requirements.
