BUSINESS SERVICES PLATINUM AGREEMENT

This Business Services Platinum Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing specialized business consulting, technical support, and premium advisory services offered under the Business Services Platinum program; and

WHEREAS, Client desires to retain Service Provider to perform the services described herein and Service Provider agrees to perform such services under the terms and conditions set forth in this Agreement.

1. SCOPE OF WORK

Service Provider shall deliver the services, deliverables, and milestones set forth in this Section and any attachments incorporated by reference. Services shall include strategic planning, implementation support, ongoing advisory services, and other services as expressly agreed in writing by the parties.

2. PAYMENT TERMS

In consideration for the services, Client shall pay Service Provider the fees set forth below. Fees are exclusive of applicable taxes unless otherwise stated. Service Provider shall invoice Client in accordance with the schedule below and Client shall pay all undisputed invoices in full in accordance with this Section.

Unless otherwise stated in the payment schedule, all invoices are payable within days of invoice date. Late payments shall accrue interest at on the outstanding balance or the maximum rate permitted by law, whichever is less.

3. TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach of these terms by the other party if the breach is not cured within the notice period specified above after receipt of written notice specifying the breach. Termination for insolvency, bankruptcy, or unlawful conduct shall be effective immediately upon written notice.

4. CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and not disclose to any third party any Confidential Information of the other party (Disclosing Party). Confidential Information includes non-public business information, trade secrets, technical data, pricing, business plans, customer lists, and any information designated as confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall use Confidential Information solely for performance of obligations under this Agreement and shall protect such information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall continue for a period of following termination or expiration of this Agreement, except for information that becomes publicly available through no wrongful act of the Receiving Party or is required to be disclosed by law, court order, or regulatory authority.

5. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

6. ENTIRE AGREEMENT

This Agreement, together with any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the parties. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

7. MISCELLANEOUS

Neither party shall assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
