BUSINESS SERVICES PRAKTIKO

Parties

Recitals

WHEREAS, Service Provider is engaged in the business of providing professional business services including consulting, implementation, and ongoing support; and

WHEREAS, Client desires to retain Service Provider to perform the services described in this Agreement and Service Provider is willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties agree that this Agreement shall become effective on (the Effective Date) and shall govern the relationship between the parties.

Scope of Work

Service Provider shall perform the services described below for Client. The parties acknowledge that a clear description of deliverables, milestones, and acceptance criteria is essential to performance.

Payment Terms

Client shall pay Service Provider for the services described above in accordance with the following terms.

All fees are exclusive of taxes. Client is responsible for any sales, use or other taxes assessed by any authority with respect to the services. Service Provider shall invoice Client as set forth above and Client shall pay undisputed invoices within the payment term specified.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach. Termination for cause shall not relieve Client of its obligation to pay for services performed and work in progress through the effective date of termination.

In the event of termination without cause by Client prior to completion of the Scope of Work, Client shall pay Service Provider for all work performed to date and for reasonable costs incurred as a direct result of termination, including non-cancelable commitments.

Confidentiality

For purposes of this Agreement, "Confidential Information" means information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, trade secrets, business plans, client lists, pricing, software, and technical materials.

The receiving party shall: (a) hold Confidential Information in strict confidence and use it only for the performance of this Agreement; (b) restrict disclosure to employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use and disclosure. Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) was known by the receiving party prior to disclosure; or (iv) is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable for consequential, incidental, special or punitive damages, and each party's aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Independent Contractor: Service Provider is an independent contractor and nothing in this Agreement creates an agency, partnership, joint venture or employment relationship between the parties.
