What the Business Services PRIMUS Is and When It Applies

The Business Services PRIMUS is a standardized service agreement template used to document the scope, deliverables, pricing, timelines, and responsibilities between a services provider and a client. It is intended for recurring and one-off professional services where clarity on milestones, payment terms, and acceptance criteria reduces disputes. The form groups essential commercial provisions (scope, compensation, term, termination, intellectual property, and confidentiality) in a consistent layout that supports review, signature, and retention across business units and external partners.

Why organizations adopt the Business Services PRIMUS

Using a single, well‑structured PRIMUS template standardizes contracting, reduces review cycles, and makes obligations easier to track. Standard terms reduce negotiation time and support consistent recordkeeping for audit, tax, and regulatory purposes.

Why organizations adopt the Business Services PRIMUS

Who typically prepares and signs the PRIMUS

The PRIMUS is used by a range of business roles responsible for buying, delivering, and approving services.

  • Procurement managers and sourcing teams who negotiate service levels and pricing.
  • Program managers and project leads who define scope, timelines, and deliverables.
  • Finance and accounts payable staff who verify fees, invoicing terms, and tax requirements.

Signatories often include an authorized officer for the provider and an authorized representative for the client; legal or commercial counsel typically reviews nonstandard changes.

Key components to include in a professional PRIMUS

A complete PRIMUS includes core sections that make obligations and remedies clear; these components help when enforcing terms or responding to audits.

Scope

Detailed description of services and deliverables, acceptance criteria, and any excluded items to avoid ambiguity during performance and billing.

Compensation

Fee structure, invoice schedule, payment terms, taxes, and expense reimbursements that determine when and how the provider is paid.

Term & Termination

Start and end dates, renewal rules, termination for convenience or cause, and consequences for early termination.

Performance Standards

Service levels, milestone dates, remedies for nonperformance, and reporting requirements tied to acceptance and invoicing.

Confidentiality

Definitions of confidential information, permitted disclosures, duration of obligations, and return or destruction requirements.

IP & Data

Ownership of deliverables, license grants, data handling obligations, and conditions for subcontracting or third‑party materials.

Stepwise process for completing the PRIMUS

Follow these steps in sequence to prepare, review, and finalize the PRIMUS for signature and retention.

  • 01
Draft core terms: Populate scope, fees, and schedule fields first.
  • 02
Internal review: Route to legal, finance, and delivery owners for approval.
  • 03
Finalize edits: Consolidate comments and produce the execution copy.
  • 04
Execute and archive: Obtain signatures and save final PDF to repository.

Where to send, file, or submit the completed PRIMUS

After execution, route copies to stakeholders and store the executed version in your record system; different recipients serve different post‑execution purposes.

  • Client Records: Send a signed copy to the client's contract administrator.
  • Provider Files: Store an executed copy with the provider's contract repository.
  • Finance: Provide the billing team the signed agreement for invoice setup.
  • Legal: Forward to counsel for retention and dispute readiness.
