Effective Date: MM/DD/YYYY format; triggers obligations
Payment Details: Bank, ACH, invoice terms, tax treatment

Common Pitfalls to Avoid

  • Leaving scope vague or using open-ended language can create disputes, allow scope creep, and delay payment; specify deliverables, acceptance criteria, and exclusions.
  • Mismatched legal names or incorrect tax IDs lead to payment holds and backup withholding; verify EINs and consistent naming before finalizing.
  • Omitting payment terms or invoice contact information increases collections friction; include billing address, contact, due dates, and late fees.
  • Failing to assign authorized signers or to record approval order can render signatures invalid for internal control or audit purposes.

Consequences of Incorrect or Incomplete Forms

Backup Withholding: 24% withholding if TIN missing
Delayed Payment: Cashflow impact and late fees
Tax Penalties: Information return fines under IRC §6721
Contract Disputes: Ambiguous scope invites litigation risk
Compliance Breach: HIPAA violations for health data; BAA required
