BUSINESS SERVICES P&S

This Business Services Purchase and Sale Agreement (the Agreement) is entered into as of (Effective Date), by and between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing the professional services described herein and possesses the experience, qualifications, and capacity necessary to perform such services; and

WHEREAS, Client desires to engage Service Provider to provide those services, and Service Provider is willing to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the terms of sale, performance, payment, allocation of risk, confidentiality, and other obligations between them.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below in a professional manner consistent with industry standards. The parties acknowledge that any material change to the Scope of Work requires a written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider for services performed in accordance with the following fee structure, schedule and conditions.

Any undisputed amount not paid within days of the invoice date shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by applicable law. In addition, Client shall reimburse Service Provider for reasonable costs of collection, including attorneys' fees, in the event of nonpayment.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues through the End Date unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses reasonably incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and shall not disclose to any third party any confidential or proprietary information of the other party (Disclosing Party) disclosed in connection with this Agreement, except as expressly permitted herein. Confidential information does not include information that: (a) is or becomes generally known to the public other than by breach of this Agreement; (b) was rightfully in the Receiving Party’s possession prior to disclosure; or (c) is received rightfully from a third party without restriction on disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments, or written amendments executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations and understandings, whether oral or written.

MISCELLANEOUS

Relationship of the Parties: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor to substantially all of its business by merger or sale of assets.

Indemnification: Each party shall indemnify and hold harmless the other from and against any third-party claims arising out of its gross negligence or willful misconduct in performing this Agreement, subject to applicable law and limitations.
