Key Risks and Potential Consequences

Non-enforceability: Missing signatures may void contract
Billing Disputes: Vague scopes trigger invoice rejections
Tax Withholding: Incorrect TINs lead to backup withholding
Regulatory Fines: HIPAA or industry breaches risk penalties
Delay Costs: Late approvals extend project timelines
Notary Problems: Improper notarization invalidates signatures

Common Preparation Pitfalls to Avoid

  • Ambiguous deliverables or undefined acceptance criteria commonly cause payment delays and disputes; include measurable acceptance tests to reduce interpretation risk and invoice withholding.
  • Poorly specified change-order mechanisms lead to scope creep and unbilled work; require documented approvals and pricing adjustments to avoid revenue loss and client disagreements.
  • Using inconsistent names or entity types across contracts and invoices increases legal friction; verify corporate names, DBA entries, and EINs before execution.
  • Delays in signature collection often stem from unclear signer authority; identify authorized signatories and include title or board resolution if corporate authorization is required.
