What the Business Services QPI Agreement Covers

The Business Services QPI Agreement is a standardized service contract used by companies to define the scope, deliverables, quality performance indicators (QPI), timelines, fees, and responsibilities for business-to-business services. It documents measurable performance targets, reporting requirements, acceptance criteria, remedies for noncompliance, and data handling obligations when work involves protected information. Parties use the agreement to reduce ambiguity, set billing and dispute processes, and establish governing law. The agreement can be executed electronically under U.S. federal and state e-signature laws when the transaction does not fall within statutory exceptions.

Why organizations use a QPI agreement

Use the Business Services QPI Agreement to set measurable service standards, reduce disputes, and document payment and reporting obligations. Properly executed, electronic signatures satisfy federal ESIGN (15 U.S.C. ch. 96) and state UETA rules, supporting remote execution for most commercial transactions.

Why organizations use a QPI agreement

Who typically prepares and signs this agreement

Typical parties and teams that prepare or sign the Business Services QPI Agreement include internal stakeholders and external service providers.

  • Procurement and sourcing teams handling vendor selection, performance criteria, and contract terms.
  • Service providers and account managers defining deliverables, SLAs, reporting, and corrective actions.
  • Legal and compliance teams reviewing liability, confidentiality, and data protection clauses.

Clarifying roles early speeds negotiation, ensures the right approvals, and assigns clear performance and acceptance authority.

Primary signers and reviewers

Procurement Manager

A procurement manager negotiates commercial terms, confirms performance metrics, and coordinates approvals across finance, legal, and operations. They ensure the SLA language maps to measurable KPIs and acceptance processes.

Authorized Signer

An executive or delegated official with authority to bind the organization signs on behalf of the company. Confirm corporate authority and, if required, board approval before execution.

Core sections to include in a professional QPI agreement

A complete Business Services QPI Agreement groups operational, financial, legal, and security terms so performance can be measured and enforced consistently.

Scope of Work

Define specific services, deliverables, milestones, and exclusions. Use measurable outputs and reference exhibits or schedules that list tasks, delivery formats, and acceptance criteria to avoid ambiguity.

Quality Metrics

List KPIs, thresholds, measurement methods, reporting frequency, and sampling protocols. Specify remedies, credits, or corrective action plans tied to missed targets and how disputes over metrics are resolved.

Reporting & Acceptance

Set reporting cadence, required report contents, sign-off procedures, and acceptance windows. Include escalation paths and time limits for client review and rejection of deliverables.

Payment Terms

State pricing, invoicing schedule, late payment interest, and conditions for withholding payment tied to unmet KPIs. Describe approved expenses and change-order billing procedures.

Liability & Remedies

Allocate risk with limitations on liability, indemnities, and insurance requirements. Specify remedies for breach, including termination rights and procedures for dispute resolution.

Data Protection

Include confidentiality, data handling, encryption, breach notification, and any HIPAA or industry-specific requirements. Identify data ownership and permitted processing activities.

Step-by-step: completing and executing the agreement

Follow these steps to prepare, review, and sign the Business Services QPI Agreement efficiently and in compliance with applicable e-signature rules.

  • 01
Draft: Populate scope, KPIs, fees, and dates; attach exhibits.

Internal Review: Legal, finance, and operations confirm terms and risk allocation.
  • 03
Signatory Assignment: Identify authorized signers and obtain approvals or board consents if required.
  • 04
Execution: Sign electronically or in person and distribute executed copies with the audit trail.

How execution and routing typically proceed

A clear routing sequence minimizes delays and preserves the signing order for conditional approvals or tiered authorizations.

  • Upload: Sender uploads the final agreement to the signing platform.
  • Assign Fields: Place signature, name, date, and initial fields for each signer.
  • Authenticate: Signers authenticate by email, SMS code, or stronger methods where required.
  • Complete: Platform records timestamps, IPs, and audit trail; executed copy is returned to parties.

Recommended digital workflow settings

Configure the signing workflow to match your approval and audit requirements before sending the agreement for signatures.

Field Configuration
Authentication Method Email link or SMS code for routine transactions; KBA or SSO for higher risk.
Template Usage Create a reusable template to keep QPI language consistent across engagements.
Bulk Send Enable for high-volume, identical agreements to save time.

Technical requirements for e-signing and exchange

Choose a platform that supports required authentication strength, record retention, and integrations with your systems.

  • Integrations: CRM, ERP, and document storage connectors.
  • File Formats: PDF, DOCX, and PDF/A export for archives.
  • Authentication: Email, SMS, SSO, or KBA depending on risk.

Key dates and timeline expectations

Track the agreement lifecycle with clear deadlines for signature, performance, and reporting to avoid disputes and late fees.

Effective Date:

Date when rights and obligations commence; usually the signed date or agreed start date.

Signature Deadline:

Specify a last date for execution to lock pricing or resource allocation.

Delivery Milestones:

Set interim delivery and acceptance dates tied to payment.

Performance Reporting:

State frequency for KPI reports and review meetings.

Renewal Notice:

Require notice period for auto-renewal or nonrenewal to manage transitions.

Common preparation pitfalls to avoid

  • Unclear KPIs that are subjective rather than measurable, causing disputes.
  • Missing authorization or signature authority that delays final execution.
  • Inconsistent exhibits or versions attached without version control, leading to ambiguity.
  • Omitted data protection clauses when handling regulated information, creating compliance risk.

Consequences of incorrect or incomplete agreements

Unenforceable Contract: Ambiguous terms may render obligations unenforceable.
Payment Withholding: Client may legally withhold payments for unmet KPIs.
Regulatory Fines: Failure to protect regulated data can trigger penalties.
Recording Rejection: Improper notarization can prevent recordation where required.
Tax Withholding Risk: Incorrect payee info may trigger backup withholding.
Dispute Costs: Litigation or arbitration expenses can exceed expected damages.
