BUSINESS SERVICES QQ AGREEMENT

This Business Services QQ Agreement (the Agreement) is entered into as of by and between Service Provider: and Client: .

RECITALS

WHEREAS, Service Provider possesses the experience, personnel and resources necessary to perform the professional business services described in this Agreement; and

WHEREAS, Client desires to engage Service Provider on the terms and conditions set forth herein to provide such services; and

WHEREAS, the parties intend to set forth their respective rights and obligations regarding the delivery, acceptance and payment for the services.

SCOPE OF WORK

Service Provider shall perform the services set forth below in a professional and workmanlike manner consistent with industry standards. The services will include the tasks, deliverables, milestones and acceptance criteria described in the Scope of Work.

PAYMENT TERMS

In consideration for the performance of the services, Client shall pay Service Provider the fees described below. Fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall accrue interest at the lesser of % per month or the maximum permitted by law, plus a one-time late fee of . Client shall be responsible for collection costs, including reasonable attorneys' fees, for overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within days after written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by a disclosing party to the receiving party, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that (a) is or becomes generally known to the public without breach of any obligation owed to the disclosing party; (b) was known to the receiving party prior to its disclosure as evidenced by written records; or (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

The receiving party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to its employees, contractors and agents who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement; and (iii) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Except as expressly provided herein, Service Provider shall retain all right, title and interest in and to any pre-existing intellectual property, methodologies, tools and materials used by Service Provider in performing the services. Client shall own all deliverables specifically developed for Client under this Agreement upon full payment of fees, and Service Provider hereby assigns such ownership to Client. Service Provider may retain copies of work product for its records, subject to confidentiality obligations.

LIMITATION OF LIABILITY AND INDEMNITY

Neither party shall be liable to the other for any indirect, incidental, consequential, special or punitive damages arising out of or relating to this Agreement, even if advised of the possibility of such damages. Each party's aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

Client shall indemnify, defend and hold harmless Service Provider from and against any third-party claims arising from Client's use of deliverables in violation of this Agreement or applicable law, except to the extent caused by Service Provider's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of this Agreement.

NOTICES

All notices, consents or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate by written notice.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign this Agreement in connection with a merger or sale of all or substantially all of its assets.
