BUSINESS SERVICES QUELL AGREEMENT

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional business services described in this Agreement and represents that it has the experience, qualifications and resources necessary to perform the services; and

WHEREAS, Client desires to retain Service Provider to perform such services on the terms and conditions set forth in this Agreement and Service Provider is willing to perform those services for compensation as provided herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such services in a written agreement.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). Service Provider shall perform the Services in a professional and workmanlike manner and in accordance with industry standards.

PAYMENT TERMS

Compensation. Client shall pay Service Provider the total amount and per the schedule set forth below. All fees are due in U.S. dollars and exclusive of taxes unless otherwise specified.

Invoicing and Payment Terms: Service Provider shall submit invoices in accordance with the Payment Schedule. Unless otherwise agreed in writing, payments are due within the number of days specified on the invoice. If Client disputes any portion of an invoice, Client shall pay any undisputed portion and provide written notice of the dispute with supporting information; the parties shall in good faith seek to resolve any disputed amounts within thirty (30) days.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause upon written notice to the other party given at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice. Upon termination, Client shall pay Service Provider for Services performed and documented expenses reasonably incurred through the effective date of termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) maintain the confidentiality of the disclosing party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, contractors or advisors with a need to know and subject to confidentiality obligations; and (c) not use Confidential Information except to perform its obligations under this Agreement.

Exclusions: Confidential Information does not include information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement; (ii) was in the receiving party's possession prior to receipt from the disclosing party without restriction; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Duration: The confidentiality obligations set forth in this Section survive termination or expiration of this Agreement for a period of unless otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral.

Amendments: No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.
