Business Services Agreement — Business Services Raconda

This Business Services Agreement ("Agreement") is entered into as of by and between Service Provider Name: , with an address at ("Provider"), and Client Name: , with an address at ("Client").

WHEREAS

WHEREAS, Provider is engaged in the business of offering professional business services including consulting, operational support, and implementation services; and

WHEREAS, Client desires to engage Provider to perform certain services as set forth herein and Provider agrees to perform such services under the terms and conditions of this Agreement.

WHEREAS, the parties intend that the agreements, covenants and obligations set forth below shall govern their relationship with respect to the services described herein.

1. Scope of Work

Provider shall perform the services described below (the "Services"). Provider shall provide the Services in a professional and workmanlike manner consistent with industry standards.

2. Payment Terms

Client shall pay Provider for the Services in accordance with the fees and schedule below. All amounts are payable in lawful currency unless otherwise agreed in writing.

Provider shall invoice Client in accordance with the payment schedule. Unless otherwise agreed in writing, payments are due within days of invoice. Unpaid amounts shall accrue the specified late fee and Provider may suspend performance if amounts remain overdue after ten (10) days' notice.




3. Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Section, continues until the End Date or until completion of the Services.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no less than days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice.

4. Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose or use any non-public proprietary information of the other party (the "Disclosing Party") disclosed in connection with this Agreement, except as necessary to perform the Services or as required by law. Confidential information does not include information that is or becomes generally available to the public other than by breach of this Agreement, or that the Receiving Party can demonstrate was independently developed or already known.

Upon termination or expiration of this Agreement, the Receiving Party shall, at the Disclosing Party's election, return or destroy Confidential Information and certify in writing that it has complied with this obligation.

5. Compliance, Relationship and Indemnity

Provider shall perform the Services as an independent contractor. Nothing in this Agreement shall create a joint venture, partnership, employment or agency relationship between the parties. Provider is responsible for all taxes and withholdings on fees paid to Provider.

Each party shall indemnify, defend and hold harmless the other party from and against claims, losses, liabilities and expenses arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement, subject to applicable law.

6. Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, breach of confidentiality, or indemnification obligations, neither party shall be liable to the other for incidental, consequential, special or punitive damages, and total aggregate liability shall be limited to the fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law provisions.

8. Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

9. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice in accordance with this Section. Notices shall be deemed given upon personal delivery or three (3) days after deposit in the mail with postage prepaid.
