This Business Services RAD Form (the "Agreement") is made effective as of by and between Service Provider Name: (referred to as "Service Provider") and Client Name: (referred to as "Client").

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional business services including analysis, development, and advisory work, and represents it has the skill and resources to perform the services described herein; and

WHEREAS, Client desires to engage Service Provider to perform certain services on the terms and conditions set forth in this Agreement, and Service Provider agrees to provide such services pursuant to the terms of this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for fifteen (15) days after written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial or other information disclosed by one party to the other, whether disclosed orally, in writing or by inspection. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to third parties except as permitted herein, and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

REPRESENTATIONS, WARRANTIES AND LIMITATIONS

Each party represents that it has the authority to enter into this Agreement. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMPENSATION PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against claims, losses and liabilities arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, except to the extent caused by the indemnified party's negligent acts or omissions.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties agree that disputes will be resolved in the state and federal courts located in the jurisdiction indicated above.

ENTIRE AGREEMENT

This Agreement, including any attachments and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision is held invalid, the remaining provisions shall continue in full force and effect.

Remedies: The parties acknowledge that a breach of confidentiality or proprietary rights may cause irreparable harm for which monetary damages would be inadequate. In such event, the non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
