Common Preparation Errors to Avoid

  • Using informal or abbreviated legal names that do not match tax or bank records, causing payment and tax processing problems.
  • Failing to specify delivery acceptance criteria or inspection windows, which leads to disputes over rejected or returned goods.
  • Leaving payment terms vague or inconsistent with purchase orders, resulting in delayed payments and strained vendor relationships.
  • Omitting signature authority or failing to obtain required internal approvals, which may render the document unenforceable.

Practical Tips for Accurate and Efficient Completion

Adopt consistent procedures and templates to reduce errors and speed processing.

Standardize templates
Use a single approved template with fixed clauses for pricing, delivery, and acceptance to reduce negotiation time and legal review costs.
Use precise SKUs
List SKU numbers and unit measures explicitly to avoid disputes and streamline receiving and inventory reconciliation.
Confirm signer authority
Validate the signer's authority and include title/role to prevent later challenges to signature validity or contract binding.
Preserve audit records
Retain signed PDFs and audit trails in a secure repository to support audits and dispute resolution.
