BUSINESS SERVICES ROLLINS

Parties and Effective Date

This Business Services Agreement (the Agreement) is made and entered into as of Effective Date: (the Effective Date), by and between the Service Provider named above and the Client named above.

WHEREAS

WHEREAS, the Service Provider is engaged in the business of providing professional business services, including advisory, operational and administrative services; and

WHEREAS, the Client desires to engage the Service Provider to perform certain services as set forth in this Agreement, and the Service Provider agrees to perform such services under the terms and conditions hereinafter provided.

Scope of Work

The Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards and in accordance with the timetable specified by the Client. The parties acknowledge that services may be amended by written change order executed by both parties.

Payment Terms

In consideration for the Services, Client shall pay Service Provider in accordance with the following terms. All fees are payable in U.S. dollars unless otherwise agreed in writing.

All undisputed amounts are due within days of receipt of an invoice. Client shall pay reasonable costs of collection, including attorneys' fees, for amounts not timely paid.

Term and Termination

This Agreement shall commence on Start Date: and, unless earlier terminated as provided herein, shall continue until End Date: .

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination. Service Provider shall deliver any work in progress and Client shall pay any non‑cancellable third‑party costs incurred by Service Provider that were reasonably necessary to perform the Services.

Confidentiality

"Confidential Information" means all non-public information disclosed by a party to the other, whether orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was known to the receiving party prior to disclosure as evidenced by written records; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall (i) hold the Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as permitted herein, and (iii) use Confidential Information solely to perform its obligations under this Agreement. The receiving party may disclose Confidential Information to its employees, contractors or advisors on a need‑to‑know basis provided such persons are bound by confidentiality obligations at least as protective as those in this Agreement. Upon termination or at the disclosing party's request, the receiving party shall return or destroy Confidential Information and certify such return or destruction in writing.

The parties acknowledge that monetary damages may be inadequate for breach of this Section and that the disclosing party shall be entitled to seek injunctive or other equitable relief, in addition to any other remedies available at law or in equity.

Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, damages and expenses arising out of the indemnifying party's gross negligence or willful misconduct in performing under this Agreement. Service Provider shall maintain commercially reasonable insurance coverages to support its obligations under this Agreement and, upon reasonable request, shall provide evidence of such insurance to Client.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located within that state, and each party submits to the jurisdiction of such courts.

Representations and Warranties; Limitations

Each party represents and warrants that it has the full power and authority to enter into this Agreement and perform its obligations hereunder. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICES ARE PROVIDED "AS IS" AND EACH PARTY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES.

Entire Agreement; Amendment

This Agreement, including all exhibits and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by nationally recognized overnight courier, in each case to the addresses provided above or to such other address as either party designates by written notice to the other.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to a successor in connection with a merger or sale of substantially all of its assets.
