BUSINESS SERVICES ROS

This Business Services ROS (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional business services and possesses the personnel, experience and capability to perform the services described herein;

WHEREAS, Client desires to engage Service Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this ROS constitute a binding contract governing the scope, compensation and other rights and obligations of the parties.

SCOPE OF WORK

Service Provider shall provide the services and deliverables as described below. The Scope of Work shall include tasks, milestones, deliverable descriptions, and acceptance criteria. Any material change in scope shall be documented and executed by written amendment signed by both parties.

PAYMENT TERMS

As full compensation for the services performed by Service Provider under this Agreement, Client shall pay Service Provider the fees set forth below in United States dollars. Fees do not include applicable taxes unless expressly stated.

Invoices shall be submitted in accordance with the schedule above and are payable within days from invoice date unless otherwise agreed in writing. Overdue amounts shall accrue interest and fees as provided below.

Late Fee: Any undisputed amount not paid when due shall incur a late fee of per month (or the maximum rate permitted by law, if less), calculated monthly on the outstanding balance. In addition, Service Provider may charge a one-time administrative fee of for each invoice that becomes past due.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Upon termination, Client shall pay Service Provider for all services performed and authorized reimbursable expenses incurred through the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" means business, technical, financial, and other non-public information disclosed in connection with this Agreement, whether in oral, written or electronic form, but excludes information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement by the Receiving Party, (b) was lawfully in the Receiving Party's possession prior to disclosure, or (c) is independently developed without use of the Disclosing Party's Confidential Information.

Receiving Party may disclose Confidential Information to its employees, contractors and advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses with its own confidential information, but in no event less than reasonable care.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If not resolved within thirty (30) days, disputes shall be resolved by binding arbitration conducted in accordance with the rules agreed by the parties, and judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or schedules executed by the parties and incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate and that either party may seek injunctive relief to enforce the provisions of this Agreement.
