Common mistakes to avoid when preparing the agreement

  • Using informal or abbreviated legal names that do not match tax or formation records, which can delay payments and cause withholding issues.
  • Leaving scope or deliverable descriptions vague, resulting in disputes over whether a task is included and potential billing disagreements.
  • Failing to confirm signer authority or attach corporate resolutions where required, which can render signatures unenforceable in contract disputes.
  • Omitting insurance and indemnity minimums or relying on verbal assurances; missing certificates of insurance can block contractor onboarding.

Short list of legal and operational risks from incomplete or incorrect forms

Contract voidability: Missing essential terms may make the agreement unenforceable
Backup withholding: Incorrect TIN or W‑9 issues can trigger 24% withholding
Data breach fines: Improper data handling can cause regulatory penalties
Notary rejection: Improper notarization or witness counts invalidate acknowledgements
Payment delays: Unclear invoicing rules lead to disputed or late payments
Regulatory noncompliance: Missing industry clauses can result in fines or license issues

Practical tips for accurate, efficient completion and management

Adopt standardized fields, version control, and an approval checklist to reduce cycle time and errors when using this template.

Use full legal entity names
Always enter the legal business name exactly as it appears on IRS records and formation documents; mismatched names cause tax form rejections and can trigger backup withholding or require corrected filings.
Standardize date and money formats
Use MM/DD/YYYY for dates and clear currency notation. Ambiguous dates or informal monetary language cause accounting errors and can complicate dispute resolution and payment processing.
Collect supporting documents first
Require W‑9s, insurance certificates, and any required licensing before final signature to avoid onboarding delays and to ensure compliance with payment and insurance obligations.
Preserve the audit trail
Store signed PDFs with a certificate of completion showing timestamps, IP addresses, and signer authentication method to support enforceability under ESIGN and UETA.
