BUSINESS SERVICES RTP

This Business Services Agreement ("Agreement") is made effective as of by and between Client Name: (Client) and Provider Name: (Provider).

RECITALS

WHEREAS, Client desires to retain Provider to perform certain business services as described herein and Provider represents that it has the expertise, personnel and resources to perform such services in a professional manner; and

WHEREAS, Provider agrees to provide services to Client under the terms and conditions set forth in this Agreement in exchange for compensation as set forth in the Payment Terms; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the services to be performed.

SCOPE OF WORK

Provider shall perform the services described below (the "Services"). Provider shall perform the Services in accordance with industry standards and the timelines agreed by the parties.

PAYMENT TERMS

As full compensation for the Services, Client shall pay Provider the amounts and in the manner set forth below. All fees are payable in U.S. Dollars unless otherwise agreed in writing.

Invoices shall be delivered to Client in the manner specified by Client and are due and payable within days of receipt, unless otherwise agreed in writing. Late payments shall incur a late fee equal to % per month on any unpaid balance (or the maximum rate permitted by law, if less) after a grace period of days.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing the other party with not less than days' prior written notice. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days after written notice specifying the breach.

Upon termination, Client shall pay Provider for all Services performed through the effective date of termination and for any non-cancellable obligations incurred prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as expressly permitted in this Agreement. "Confidential Information" means non-public business or technical information disclosed in any form that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Confidentiality obligations shall not apply to information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) is rightfully received from a third party without a duty of confidentiality; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by applicable law or court order (provided the Receiving Party gives prompt notice and cooperates with reasonable efforts to limit disclosure).

The obligations of confidentiality shall continue for a period of years following termination or expiration of this Agreement, except with respect to trade secrets, for which protection shall continue for so long as such information remains a trade secret under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the county designated by the governing law state for resolution of disputes, unless the parties agree in writing to arbitration.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

The relationship of Provider to Client is that of an independent contractor. Nothing in this Agreement creates an employment, partnership or joint venture relationship. Provider shall be responsible for all taxes and other obligations arising from the compensation paid to Provider.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect interpretation.
