BUSINESS SERVICES RTR

This Business Services Agreement ("Agreement") is entered into by and between the undersigned parties as of the Effective Date set forth below.

Parties

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform business services related to RTR operations, including but not limited to process analysis, systems implementation, and ongoing support; and

WHEREAS, Service Provider represents that it has the professional capability, personnel, and resources to perform the services described in this Agreement in a timely, efficient, and workmanlike manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which such services will be provided.

Scope of Work

Service Provider shall perform the services described above in accordance with a mutually agreed project plan and deliverables schedule. Any material changes to the scope shall be documented in a written change order signed by both parties and shall include price and schedule adjustments where applicable.

Payment Terms

Unless otherwise agreed in writing, Client shall pay invoices within days of receipt. Late payments shall incur a late fee of % per month on the outstanding balance, calculated daily and compounded monthly, in addition to any collection costs incurred by Service Provider.

Term and Termination

This Agreement shall commence on , (the "Commencement Date") and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party no less than days prior to the intended termination date. Either party may terminate immediately for cause upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within 14 days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public, proprietary, or confidential information disclosed by one party to the other, whether oral, written, electronic or otherwise, including business plans, processes, technical data, pricing, and customer information. Each party shall: (a) hold Confidential Information of the disclosing party in strict confidence; (b) not disclose such Confidential Information to any third party except as expressly authorized in writing; and (c) use such Confidential Information solely to perform its obligations under this Agreement. Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement, is independently developed without use of the other party's Confidential Information, or is rightfully obtained from a third party without restriction.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information and certify in writing the completion of such return or destruction upon request.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages, even if advised of the possibility of such damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including all exhibits and any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party may designate by notice in accordance with this section. Notices shall be deemed given upon personal delivery, one business day after delivery to a recognized overnight courier, or three business days after deposit in the U.S. mail, first-class postage prepaid.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Headings are for convenience only and shall not affect interpretation.
