Business Services SALCE

This Business Services SALCE (the "Agreement") is entered into as of Effective Date: by and between Service Provider Name: and Client Name: .

WHEREAS

WHEREAS, Service Provider represents that it has the professional capacity, personnel and technical resources necessary to provide the business services described herein and will perform such services in a commercially reasonable manner consistent with industry standards; and

WHEREAS, Client desires to engage Service Provider to perform the services set forth in Scope of Work below and Service Provider agrees to perform such services in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the terms, payment, confidentiality obligations, and remedies in connection with the provision of services described herein.

Late payments will accrue interest at the lesser of (i) % per month or (ii) the maximum rate permitted by applicable law. In addition, Client shall be liable for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason by providing written notice to the other party at least days prior to the effective date of termination. Upon termination, Client shall pay Service Provider for all services performed and reasonable expenses incurred through the effective date of termination.

Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure such breach within fourteen (14) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to (i) hold the other party's Confidential Information in strict confidence, (ii) use such Confidential Information only to perform obligations or exercise rights under this Agreement, and (iii) not disclose such Confidential Information to any third party except to employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein. Confidential Information does not include information that is or becomes public through no breach by the receiving party, is rightfully received from a third party without restriction, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Representations; Warranties; Insurance

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder. Service Provider represents that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards. Service Provider shall maintain at its expense commercially reasonable insurance covering its performance under this Agreement and shall provide proof of such insurance upon reasonable request.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for indirect, incidental, consequential, special or punitive damages, and the aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the date the claim arose.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in said state for purposes of any action or proceeding arising out of this Agreement.

Entire Agreement; Amendments

This Agreement, together with any exhibits, schedules or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors and nothing in this Agreement will be construed to create a partnership, joint venture, employment or agency relationship.
